Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you" or "Customer") and Sofya, operated by Yusuf Gurdogan as a sole proprietorship based in Turkey ("Sofya," "we," "us," or "our"). They govern your access to and use of the Sofya website at sofya.co, the Sofya REST API, the Sofya MCP server at mcp.sofya.co, and any other product or feature we make available through these (together, the "Service").
By clicking "I accept," by creating an account, or by accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
1. The Service
Sofya is an API for AI agents and developer applications that performs web search, content fetching, structured extraction, and multi-step research on demand. The exact endpoints, parameters, rate limits, and credit costs are described in our documentation at /docs and are part of these Terms by reference.
We may add, remove, change, or deprecate any feature or endpoint at any time. We will use reasonable efforts to provide notice of material breaking changes.
2. Accounts and API Keys
You must create an account to use the Service beyond unauthenticated landing pages. You are responsible for the accuracy of the information you provide and for keeping your account credentials and API keys confidential. You must promptly notify us at support@sofya.co of any suspected unauthorised use of your account or key. You are responsible for all activity that occurs under your account and any API key issued to it, whether authorised by you or not.
3. Fees, Credits, and Refunds
The Service uses a credit model. Each API call consumes credits at the rates listed at /pricing. Free-tier accounts receive a monthly allowance of credits that does not roll over between months. Paid credits do not expire while your account is active.
All fees are quoted in United States dollars, are exclusive of any applicable taxes (which you are responsible for), and are charged at the time of purchase by our payment processor.
Credits are non-refundable. All purchases are final. We do not refund unused credits if you stop using the Service or if your account is terminated, except where a refund is required by mandatory consumer protection law that applies to you, in which case we will provide the minimum refund that law requires.
We may change our fees, credit costs, or free-tier allowance from time to time. Changes apply to future purchases and future free-tier resets, not retroactively.
4. AI, Machine Learning, and Your Data
We do not use your queries, the content we fetch on your behalf, or the responses we return to you to train, fine-tune, evaluate, benchmark, or otherwise improve any machine-learning model, ours or anyone else's. This commitment is part of our agreement with you, not a discretionary policy.
To execute features that rely on AI (for example /v1/extract and /v1/research), we send the minimum content needed to perform your request to third-party AI providers. Those providers are bound by their own published terms, including any commitments they make about not training on input received through their API. If a particular feature requires the use of an AI provider that does not offer such a commitment, we will say so in our documentation.
5. Your Content and Queries
You retain all rights in the queries you submit and in the content returned to you to the extent you have such rights to begin with. You grant us a non-exclusive, royalty-free, worldwide licence to process your queries and the resulting content for the limited purpose of operating the Service for you. We do not claim any rights in your inputs or outputs beyond what is needed to deliver the response, and we do not use them as described in Section 4.
You represent and warrant that your use of the Service, including the queries you send, complies with all applicable laws and does not infringe the rights of any third party.
6. Third-Party Content and Sites
The Service fetches and returns content from third-party websites in response to your queries. We do not own that content, we do not control those websites, and we do not endorse anything they say or claim. Content is provided "as is" and you are responsible for any further use you make of it, including whether such use complies with the source website's terms of service, copyright law, data-protection law, and any other applicable law.
In particular, you are solely responsible for ensuring that downstream use of content (re-publication, redistribution, training, indexing, large-scale storage, automated decision-making about individuals) is lawful and permitted by the rights holder. Sofya makes no warranty that any third-party content is free of intellectual-property restrictions, defects, or inaccuracies.
7. Acceptable Use
You agree that you will not, and will not allow any third party (including any of your end users) to:
- Use the Service to violate any applicable law or regulation, or the rights of any third party (including intellectual-property, privacy, and contract rights);
- Use the Service to access, collect, or compile information about specific individuals for the purpose of profiling, doxxing, surveillance, or unsolicited contact;
- Use the Service to produce, distribute, or facilitate the production of malware, phishing pages, fraudulent content, spam, or material that infringes copyright or trademark;
- Use the Service to make consequential, fully-automated decisions about individuals (for example employment, credit, insurance, housing, or law-enforcement decisions) without meaningful human oversight;
- Resell, sublicense, or redistribute the Service as a substantively similar API to third parties, or build a directly competing product on top of the Service;
- Reverse engineer, decompile, or disassemble the Service, or attempt to extract the source code or non-public APIs, except to the extent applicable law prohibits this restriction;
- Circumvent or attempt to circumvent any rate limit, credit metering, authentication mechanism, or security control;
- Probe, scan, or test the vulnerability of the Service, or breach or otherwise circumvent any security or authentication measures (except in good-faith security research disclosed to us promptly at security@sofya.co);
- Use the Service in any way that overburdens its infrastructure, interferes with its integrity or performance, or degrades it for other users.
8. Intellectual Property
The Service, including the Sofya name and logo, the website, the documentation, and the underlying software, is owned by us and is protected by intellectual-property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business or personal purposes. No other rights are granted. All rights not expressly granted are reserved.
Brand assets we publish on our press kit may be used to refer to Sofya in accordance with the usage guidelines published on that page.
9. Copyright Complaints and Takedown
If you are a rights holder and believe that content fetched or returned by the Service infringes your copyright or other rights, please send a notice to copyright@sofya.co containing:
- Your physical or electronic signature, and information sufficient to contact you;
- A description of the work you claim is infringed;
- The URL or other reasonably specific information identifying the allegedly infringing material as it appears on or through the Service;
- A statement, made in good faith, that the use is not authorised by the rights holder, its agent, or the law;
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorised to act on behalf of the rights holder.
We will review notices in good faith and take action we believe is reasonable, which may include configuring the Service to stop returning the identified content. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements, that any defect will be corrected, or that any specific content will be available through it.
Content returned by the Service is generated and fetched at the time of your request from third-party sources, including AI providers and arbitrary websites. We make no warranty that such content is accurate, current, complete, or suitable for any purpose. You must independently evaluate it before relying on it, especially for medical, legal, financial, or other professional decisions.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- In no event will Sofya or Yusuf Gurdogan be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, even if advised of the possibility of such damages, arising out of or related to your use of the Service.
- The total aggregate liability of Sofya arising out of or related to these Terms or the Service, regardless of the cause or form of action, will not exceed the greater of (a) the total fees you paid to us in the three (3) months immediately preceding the event that gave rise to the claim, or (b) one hundred United States dollars (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.
12. Indemnification
You will defend, indemnify, and hold harmless Sofya and Yusuf Gurdogan from and against any third-party claim, demand, loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or related to (a) your use of the Service, (b) your queries or your application of the responses you receive, (c) your breach of these Terms, or (d) your violation of any law or the rights of any third party.
13. Suspension and Termination
You may stop using the Service at any time and request deletion of your account by emailing support@sofya.co. We may suspend or terminate your access to the Service, immediately and without prior notice, if we have a reasonable belief that you have breached these Terms, that your account is being used fraudulently or abusively, or that continued operation would create legal exposure for us. We may also discontinue the Service in whole or in part at any time.
Sections 3 (fees already paid), 5, 6, 8, 10, 11, 12, 14, and 15 survive termination.
14. Changes
We may update these Terms from time to time. If we make material changes we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or in-product notice at least seven (7) days before they take effect. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Türkiye, without regard to its conflict-of-law principles. The Istanbul Central (Çağlayan) Courts and Enforcement Offices have exclusive jurisdiction to resolve any dispute arising out of or related to these Terms or the Service. Nothing in this Section limits any non-waivable consumer-protection rights that may apply to you under the laws of your place of residence.
16. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede any prior agreement on the same subject. If any provision is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce a right is not a waiver of that right. You may not assign or transfer these Terms or any rights under them without our prior written consent; any attempt to do so is void. We may assign these Terms in connection with a corporate transaction (such as a merger, acquisition, or asset sale).
